Melanie Clemmons Becker

Banking and Corporate Law

Melanie began her legal career in 1983 as a corporate associate with the Houston firm of Childs, Fortenbach, Beck & Guyton. She continued to practice corporate law as a member of Looper, Reed, Mark & McGraw and as of counsel with Boyer, Ewing & Harris, and then as legal counsel to Comfort Systems USA, Inc. (NYSE:FIX). Throughout her legal career, Melanie has engaged in a broad transactional practice, working with small business, middle market and large corporate clients on contract drafting and negotiation, corporate formation, securities reporting and private placement transactions, and mergers and acquisitions, as well as related debt and international bank financings.

As legal counsel to a public roll-up company, Melanie created post-acquisition contract, document and corporate compliance review systems for 100+ subsidiaries, prepared periodic SEC reports and annual meeting documents and provided merger and acquisition support. She has also provided advice pro bono to non-profit organizations. Most recently, Melanie's practice has focused on preparing loan documentation for client banks and representing borrowers and lenders in financing transactions.

Melanie graduated with a B.A. magna cum laude from Vanderbilt University in 1979 and with a J.D. from The Ohio State University College of Law in 1983, and is admitted to the Ohio and Texas Bars. She is a member of the Business Law sections of both the American Bar Association and the State Bar of Texas, and is the author of the following article: Author v. Parodist: Striking A Compromise, 46 Ohio St. L. J. 1 (1985); published in slightly different form in 33 Copyright L. Symp.
